Terms of Service

Welcome to tPal (“the App,” “we,” “us,” or “our”). tPal provides screen recording, text extraction (OCR), and AI-powered text-generation features (“Services”). By downloading or using the App, you agree to the following Terms of Service. If you do not agree, please discontinue use immediately.

1. Acceptance of Terms

By accessing or using tPal, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service, as well as our Privacy Policy (if applicable). If you do not agree to these Terms, you may not access or use our Services.

2. Eligibility

  1. You must be at least 18 years old (or the age of majority in your jurisdiction) to use the App.
  2. By using tPal, you represent that you have the legal capacity and authority to enter into a binding agreement.

3. Description of the Service

  1. Screen Recording and OCR: tPal automatically accesses your device’s photos and videos (including screenshots and screen recordings) from within the last ten minutes to process for text extraction and analysis.
  2. ChatGPT Integration: tPal utilizes third-party AI services (e.g., from OpenAI) to provide text-based generation and analysis. We are not responsible for the content of these AI services or any decisions you make based on those outputs.
  3. Scope of Use: tPal is intended solely for personal, informational, and lawful use. Any misuse of the Services is strictly prohibited.

4. User Content and Conduct

  1. User Responsibility: You are solely responsible for the content you choose to screen record, upload, or process through the App. You must ensure that you have all necessary rights, permissions, and consents to capture and process any screen content.
  2. Prohibited Content: You agree not to record, upload, or request the processing of any material that is unlawful, offensive, defamatory, pornographic, infringes intellectual property rights, or otherwise violates applicable law or these Terms.
  3. Third-Party Rights: Do not use the App to share or process copyrighted material without permission. You are responsible for any legal disputes or infringements arising from your usage of tPal.
  4. Data Storage: We may temporarily store images or transcripts for processing. However, we do not guarantee indefinite storage or backup of your data. You acknowledge and agree that any data retention (if it occurs) is subject to our internal policies and to the extent legally permissible.

5. Privacy

Our Privacy Policy describes how we handle the information we collect when you use tPal. By using the App, you consent to the collection and use of your information as outlined in the Privacy Policy. This may include transmission of your data (such as OCR outputs) to third-party AI services to generate responses.

6. Third-Party Services and Disclaimer

  1. OpenAI and Other Providers: tPal relies on third-party service providers (like OpenAI) to process text and generate AI-based responses. We make no warranties regarding the accuracy or reliability of these third-party services.
  2. Links and References: The App or AI-generated outputs may contain links or references to third-party websites or content. We do not endorse and are not responsible for these third parties, their content, or their availability.

7. Intellectual Property

  1. Our IP: All design elements, trademarks, and content associated with tPal are the exclusive property of us or our licensors, unless otherwise stated. You may not copy, distribute, or otherwise use these materials without our prior written consent.
  2. Your IP: Any content you record or process remains yours or its rightful owner’s. You grant us a limited, non-exclusive, royalty-free license to use, modify, and store your content for the purpose of providing our Services.

8. Updates, Modifications, and Availability

  1. App Updates: We may update or modify tPal at any time. You agree that we may do so without prior notice and without liability.
  2. Maintenance and Downtime: We are not liable for interruptions, delays, or discontinuation of the Service due to maintenance, technical issues, or factors beyond our control.

9. Disclaimers

  1. No Warranties:
  1. User Reliance: You agree that any reliance on content accessed or processed through tPal is at your own risk. We are not responsible for the consequences of your decisions or actions based on the content or outputs.

10. Limitation of Liability

  1. Exclusion of Certain Damages: To the fullest extent permitted by law, we, our affiliates, and our service providers shall not be liable for indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or other intangibles.
  2. Maximum Liability: Our total liability to you for all claims arising out of or related to the use of tPal will not exceed the amount paid (if any) by you to us for accessing or using tPal.

11. Indemnification

You agree to defend, indemnify, and hold harmless tPal, its affiliates, directors, officers, employees, and agents from and against any and all claims, damages, liabilities, losses, costs, or debt (including attorneys’ fees) arising from:

1. Your use of and access to tPal;

2. Your violation of any term in these Terms;

  1. Your infringement of any third-party right, including any intellectual property or privacy right.

12. Governing Law and Dispute Resolution

  1. Governing Law: These Terms shall be governed by and construed in accordance with the laws of your jurisdiction, without regard to conflict-of-law provisions.
  2. Dispute Resolution: Any dispute relating to these Terms or your use of tPal that cannot be resolved amicably shall be submitted to binding arbitration or a small-claims court (as appropriate), except where prohibited by law.

13. Termination

  1. We may suspend or terminate your access to the App at any time, with or without cause, and with or without notice.
  2. Upon termination, you remain bound by Sections that, by their nature, should survive termination (e.g., Intellectual Property, Disclaimers, Limitation of Liability, Indemnification).

14. Changes to These Terms

We may update these Terms of Service from time to time. Changes are effective when posted in the App or upon the date specified in the updated Terms. Continued use after any modifications constitutes your acceptance of the new Terms.

15. Miscellaneous

  1. Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and tPal regarding your use of the App.
  2. Severability: If any provision of these Terms is found unenforceable, the remainder will remain in full force and effect.
  3. No Waiver: Our failure to enforce any right or provision in these Terms does not constitute a waiver of such right or provision.
